Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of the services, platform, and website provided by F4 Creative ("F4 Creative," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.

1. Services

F4 Creative provides a marketing coaching and done-with-you agency platform, including but not limited to: Meta Ads management, Instagram DM appointment setting, CRM tools powered by GoHighLevel, coaching calls, and related marketing services (collectively, the "Services"). The specific scope of Services you receive is governed by your signed service agreement or order form.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding contract to use our Services. By using the Services, you represent and warrant that you meet these requirements.

3. Account Registration

You may be required to create an account to access certain features. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized account access
• Accept responsibility for all activity that occurs under your account

4. Payment & Billing

Payment terms are outlined in your individual service agreement. General terms include:

• Fees are due as specified in your agreement (one-time or recurring)
• All payments are processed through Stripe or another approved processor
• Recurring fees will be charged automatically on the applicable billing date
• All fees are non-refundable unless expressly stated otherwise in writing
• Failed payments may result in suspension or termination of Services

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws
• Misrepresent your identity or business to us or to your prospective clients
• Interfere with or disrupt the integrity or performance of the Services
• Attempt to gain unauthorized access to any part of the platform
• Use the Services to send unsolicited communications (spam)
• Violate Meta's advertising policies, GoHighLevel's terms, or any third-party platform's terms of service

6. Intellectual Property

All content, materials, frameworks, templates, scripts, and tools created by F4 Creative and provided through the Services are the intellectual property of F4 Creative. You are granted a limited, non-exclusive, non-transferable license to use these materials solely for your business purposes in connection with the Services.

You may not reproduce, distribute, sublicense, resell, or create derivative works from our proprietary materials without express written consent.

7. Client Responsibilities

You acknowledge and agree that results from marketing services are not guaranteed. Your success depends in part on:

• Timely provision of required materials (video content, access, approvals)
• Active participation in onboarding and coaching calls
• Compliance with ad platform policies
• The competitive landscape, offer strength, and market conditions of your business

8. Third-Party Platforms

Our Services integrate with third-party platforms including GoHighLevel, Meta (Facebook/Instagram), Google, and Stripe. Your use of these platforms is subject to their respective terms of service. F4 Creative is not responsible for downtime, policy changes, or actions taken by any third-party platform.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared in the course of the Services. This includes client lists, business strategies, ad performance data, and pricing. This obligation survives termination of your service agreement.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SPECIFIC RESULTS WILL BE ACHIEVED.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, F4 CREATIVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO F4 CREATIVE IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless F4 Creative and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit through the platform.

13. Termination

Either party may terminate service as outlined in the individual service agreement. F4 Creative reserves the right to suspend or terminate your access immediately if you violate these Terms or engage in fraudulent, abusive, or illegal conduct. Upon termination, your right to use the Services ceases immediately.

14. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of Virginia, without regard to its conflict of law provisions. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Virginia.

15. Changes to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the revised Terms with an updated effective date. Continued use of the Services after such changes constitutes your acceptance of the new Terms.
